So having been bored I decided to pop back onto this site & also decided to see if this sort of RP would get people interested. It?s based off of an anime I?ve really been enjoying called ?Attack On Titan? or in Japanese ?Shingeki No Kyojin?. So as you?ll see below I?ll be explaining the idea of the Role-play. Hopefully it?ll Interest enough of you guys to actually participate in it (:

Setting of the Role-Play:
One hundred years prior to the beginning of the story, giant humanoid creatures called Titans (?? Kyojin) have forced humanity to devolve to a medieval level of technology and to retreat into a system of concentric Walls (???? W?ru) known as Wall Maria (???????? W?ru Maria, outermost), Wall Ros? (???????? W?ru R?ze, middle), and Wall Sina (???????? W?ru Sh?na, innermost). Inside these walls, humanity lived in peace for one hundred years, but in the beginning of the story, a sudden attack by a gigantic sixty-meter Titan and a smaller Titan covered in armor plates causes the outermost wall to be breached, forcing mankind to abandon the land between Wall Maria and Wall Ros?, which leads to famine and turmoil.
Little is known about the Titans, giant creatures that are usually between 3-15 meters tall with a few exceptions. The Titans instinctively attack and devour ordinary humans on sight. However, they apparently do not need to feed to survive, as they do not prey on other animals, even with the long absence of humans, and can survive by absorbing sunlight. They have hard skin and regenerative abilities, and can only be killed by a deep incision on the base of the neck. This weakness led to the development of the 3-D Maneuver Gear (?????? Rittai Kid? S?chi), allowing humans to navigate quickly in a three-dimensional space to access the Titans' weak point. Although it allows great mobility to a skilled user, it carries a large risk of overtaxing the muscles, requiring special physical conditioning and a sense of balance to master it.

As you can see it consists of the three walls mentioned above. Wall Maria, Wall Rose & Wall Sina, In the Role-play Wall Maria will have already fallen, not literally fallen but as you can see the semi-circle in front of Wall Maria is a City with a gate opening into the inner parts of wall Maria, that gate has been destroyed letting the Titans roam between Wall Maria & Wall Rose, though any of the cities between Wall Maria & Wall Rose have not fallen, the cities are represented by the Semi Circles attached to the circles representing the walls.

In this RP you?ll be taking Role of Soldiers, there is three major Corps. The Military Police which are the elite of the elite (Meaning the one who scored the highest in the recruitment exams, only 10 get to go there every 4 years out of the 100?s or even 1000?s who go through recruitment) which reside in wall Sina (The middle Circle) & protect the most valuable people of the Human Race. The Second Corps is known as the Garrison Corps, the Corps which enforces the law in the rest of the walls & cities, and the ones who patrol the city & only fight if the Titans breach one of the cities. The Third Corps is the most dangerous & most known throughout the humans, The Survey Corps or also known as the Recon Corps, the Regiment who go outside all the walls & fight of the titans to either get resources, or to even capture them to do tests & they also do missions to protect the wall, they are the only people who are known to have went past Wall Maria into the Unknown land.
I think the most ideal thing would be for most of the RP?ers to be part of the Recon Corps which would make the RP more fun & eventful. Unless we done an invasion in which people who are part of the Garrison Corps would also join in. The Military Police would only join in if wall Sina was breached, so really being part of that wouldn?t exactly be fun.

Right as you can see it basically straps around the persons waist & enables them to swing in 360 degrees through narrow spaces, it using grappling hooks to hook on to stuff & then two Gas cylinders situation above each sword box to push the person up in the air & around corners without touching the ground, these need to be refilled a lot. The boxes that contain the swords are the weapons they use to cut the spot on the back of the neck of the titan. If you have any questions about anything of it just ask & I?ll try to explain.

The ones above as you can see are normal titans, anywhere between 3-15 meters high, nothing really special about them.

The one above if the Titan that is higher than any of the walls, if I remember rightly he?s (Yeah there is only one, or so far they?ve only seen one) anywhere between 50-100 meters I can?t remember the exact height they gave him, but he is the one who usually starts the breach.

The Titan above is called the Armored Titan, His role is to destroy the gates which leads into the cities & further into the walls.

The Flowers is the Garrison Corps. The Horse like one is the Military Police, and the one that resembles wings is the Recon
Corps/Survey Corps & The Swords with nothing resembles the recruits who have yet to either pass or pick a corps to become part of.

University of Pittsburgh Researcher Arrested in Florida in Wife's Death

PITTSBURGH | A prominent University of Pittsburgh medical researcher was arrested in Florida on a charge that he fatally poisoned his wife, a neurologist at the university's medical school, authorities said Thursday.

Dr. Robert Ferrante, 64, allegedly killed his wife, Dr. Autumn Klein, 41, by lacing a creatine drink with cyanide after they exchanged text messages about how the substance could help them conceive a child, according to an 11-page complaint by city homicide detectives that was unsealed Thursday.

Ferrante was arrested in St. Augustine by Pittsburgh police. Police and Allegheny County District Attorney Stephen Zappala Jr., who announced the arrest, would not say why Ferrante was in Florida or how they found him.

Ferrante's defense attorney, William Difenderfer, has repeatedly denied his client was involved in Klein's death, but didn't immediately return calls and emails for comment.

Klein died April 20 after suddenly falling ill at home three days earlier.

Ferrante reported that his wife suffered a sudden, unknown medical emergency, possibly a stroke, but the county medical examiner said blood drawn from Klein before her death revealed a lethal level of cyanide in her system after her death.

Ferrante called 911 after Klein, chief of women's neurology at the University of Pittsburgh Medical Center, collapsed at their home shortly before midnight April 17. According to the police complaint, paramedics saw a small glass vial near a resealable plastic bag containing a white substance that Ferrante told them was creatine.

Ferrante allegedly used a university credit card April 15 to buy about a half pound of cyanide, which police determined was the only substance not related to his research work, according to the complaint.

Later, a witness in the lab saw Ferrante drinking samples of creatine he took from the lab after mixing it with water and sugar and told police that Ferrante put the creatine in a large resealable plastic bag and kept the cyanide in a safe that only he and one other person could access.

Ferrante and Klein met while Klein was a student where Ferrante worked at the VA Hospital in Bedford, Mass. They were married in 2001 and moved to Pittsburgh after being recruited to join the university's neurological surgery team.

Ferrante is considered a leading researcher on the neurological disease known as ALS, or Lou Gehrig's disease, and worked at Harvard Medical School and Massachusetts General Hospital before moving to Pittsburgh with Klein two years ago.

STATE HOUSE NEWS: As track bids for slots license, meeting focuses on former president


State officials expressed concerns?Thursday?that a former Plainridge Racecourse official did not attend a key meeting regarding the completion of a background investigation for Plainridge, a contender for the sole slot parlor license under the state?s expanded gaming law.?

During a meeting in Boston, Massachusetts Gaming Commission officials said they were concerned that former chief financial officer Timothy Peterson, who resigned this week, was not on hand for questions about former track president Gary Piontkoski?s personal cash withdrawals from the track?s money room.

Piontkowski abruptly resigned in April, saying he had left the enterprise for health reasons. John Grogan, his successor, told commission officials that Peterson?s resignation this week was a ?total surprise.??

Karen Wells, MassGaming?s director of investigations and enforcement, said Ourway Realty majority owners Stanley Fulton, founder and operator of Anchor Gaming, and Alfred Ross appeared in position to fund the development of the slot parlor at the Plainville harness racetrack.

MassGaming investigators concluded in their report that while the commission will make the final decision on whether Plainridge?s team is suitable for a slots license, the applicant and its owners ?have the requisite financial stability, integrity and responsibility, the availability of suitable financial resources, have demonstrated sound business experience, good character and personal integrity.??

As for Piontkowski, former chair of the Mass. Racing Commission and the longtime ?public face? of Plainridge, Wells said he had routinely and almost daily withdrawn small amounts of cash from the track?s money room that ?amounted to a very large sum of money.? When the funds were not repaid, they were characterized as an ?accommodation? or a ?distribution? to the former track president. In their report, investigators redacted the amount of reported distributions to Piontkowski from 2004 to 2011. Wells also told commissioners Piontkowski had once advised an employee ?never write anything down.??

Investigators questioned Peterson during the course of their work. Addressing Piontkowski?s alleged conduct, investigators ?found that Peterson testified in a credible fashion that he was uncomfortable with this particular business practice of his boss, tried to bring it to the attention of the Members through the audit letters but was not in a position to stop this practice.??

Investigators reported that Grogan, who lives in Westwood and was an investment banker for 25 years, has implemented new internal controls to address ?past shortcomings in the applicant operation.??

Grogan said he understands that Plainridge must present ?clear and convincing evidence? that the track is a suitable slot license applicant. He did not dispute findings of deficiencies in the track?s operation.

Grogan also said the investigation into the money room resulted in Piontkowski?s resignation.?

?He has no contact, influence or involvement in the company right now,? said Grogan, who testified?Thursdaywith attorneys from Foley Hoag.

Probing the integrity of the applicants, commission officials spent considerable time raising questions about financial arrangements made by the slots license applicant with Piontkowski as he left the company. Grogan said conversations with Piontkowski about his departure were ?extraordinarily difficult.?

In an April press release announcing his retirement, the track reported that Piontkowski ?looks forward to spending more time with his wife? and two daughters and ?will concentrate on his health." Piontkowski said at the time in a statement, "This has been a long journey, requiring intense effort. I am deeply grateful to my business partners at Plainridge for their faith and support as well as for their understanding for this personal decision."

A privately owned international real estate investment firm has acquired four office buildings at The Gateway near downtown Salt Lake City.

Hines, which maintains its European headquarters in London and its U.S. headquarters in Houston, said it purchased the four office buildings in partnership with a real estate fund managed by the Los Angeles-based Oaktree Capital Management.

Hines/Oaktree?s new buildings at The Gateway:

One Gateway, a seven-story structure at 90 S. 400 West encompassing 161,704 square-feet and built in 2002.

Three Gateway, a six-story property at 440 W. 200 South, with 114,197 square-feet, built in 2001.

Five Gateway, at 178 S. Rio Grande, with four stories and 64,279 square-feet, built in 2001.

Six Gateway, 460 W. 50 North, five stores and 100,528 square-feet, built in 2012.

The four properties, which were acquired from The Boyer Co., contain a total of 440,708-square-feet of office space.

The terms of the transaction were not disclosed.

Hines previously purchased the Kearns Building on Main Street in downtown Salt Lake City, in 1988.

"Hines entered Salt Lake City in 1988, and we remain focused on growing our portfolio," said Dusty Harris, a Hines? managing director who heads the company?s Utah development and investment office.

The acquisition announced this week is the second joint purchase by Hines/Oaktree in Utah. Last year, the two companies joined together to buy the South Towne Corporate Center, a two-building 248,352-square-foot office complex in Sandy.

Harris described the four Gateway buildings as best-in-class assets in the healthy downtown periphery market.

The buildings are 91 percent leased with tenants including Barrick Gold, the Bureau of Land Management, The Salt Lake Tribune, Sungard Financial and Ernst & Young, according to Hines.

The properties, Harris said, ``have proven to be resilient though a difficult economic recession." And their future value has been strengthened, he said, by the new FrontRunner and TRAX airport lines.

Todd Purdum joins Politico as senior writer

LOS ANGELES (TheWrap.com) - Todd S. Purdum, a veteran political journalist renowned for pulling back the curtain on Washington's halls of power, will join Politico.

He will become a senior writer at the news organization, Politico said Wednesday. It's a splashy hire for the site and paper and another sign of its growing influence in the political sphere.

Purdum, who has produced a series of incisive stories at Vanity Fair as its national editor, will continue his affiliation with the magazine and will remain a contributing editor. At Vanity Fair, Purdum made a stir with a profile of Bill Clinton that examined his questionable post-presidential business dealings and a look at Sarah Palin that implied she suffered from "narcissistic personality disorder."

"Todd, in his more than 30 years in journalism, has fashioned a deserved reputation as one of the most perceptive reporters and elegant stylists of his generation," Politico editor John F. Harris said in a statement. "He'll do at Politico what he has done throughout his career: write stories that vividly capture people in the news and the combination of circumstances and motives that explain their actions. Politico will be Todd's home for the wealth of more in-the-moment reporting and observations that are in his head and his notebook at any time."

Prior to Vanity Fair, Purdum spent 23 years at The New York Times. His relationship and subsequent marriage to former White House Press Secretary Dee Dee Myers was said to have inspired the romance of C.J. Cregg and reporter Danny Concannon on the NBC drama "The West Wing."

Purdum is currently writing a book entitled "An Idea Whose Time Has Come: Two Presidents, Two Parties, and the Battle for the Civil Rights Act of 1964."

Germany seeks EU support for global Internet privacy charter

Germany has urged fellow European Union member states to support its drive for a new global charter protecting personal privacy online.

A letter sent by Germany's foreign and justice ministers to their EU counterparts cites the debate over U.S. intelligence-gathering on the Internet as a reason to expand a 1966 U.N. treaty guaranteeing privacy.

The letter released Wednesday calls for an international agreement that protects privacy in the digital age and suggests convening a meeting of all 167 parties to the International Covenant on Civil and Political Rights.

The United States ratified the treaty in 1992.

The claims about U.S. online spying made by National Security Agency leaker Edward Snowden have become an election issue in Germany two months before the country goes to the polls.

Elements Of Athlete Success: Employing A Coach - Triathlete Europe

Access to information and coaching opportunities is not an issue. The issue is filtering the good from bad, and the athlete getting on a long-term journey of progression that is effective for them. What does an athlete really need from a coaching programme? This is a good question and one that I have spent a great deal of time thinking about. It would be easy to create a massive laundry list of components of a good programme, but I think we can bucket together the key components of a coaching programme that make for successful performance evolution. No matter the level of competition, athletes are typically successful if they can access what I list below.

Smart training plan: This is typically the cornerstone of any coaching programme but unfortunately this is where it often ends. This ?bucket? should include a long-term vision or roadmap for the athlete, a seasonal roadmap of training progression and ongoing review of this progression. The actual daily training plan should facilitate consistent application of training load and a smart progression throughout the racing season. This plan also needs to be flexible and specific enough to allow training to integrate into an athlete?s life and create positive training and performance adaptations. It all sounds pretty simple.

Education and guidance: All of the above is pretty useless without a strong element of ongoing education and guidance. Coaching is as much about mentoring and tutoring, as it is about planning and workouts. Athletes need to be armed with the knowledge and tools to allow them to evolve their ?athletic IQ? and begin to make their own smart decisions. This is a never-ending process of guidance around all aspects of performance including season planning, nutrition, skills, mental approaches, race strategy, sleep and travel. The list is endless.

The depth of education and guidance increases as the relationship with the individual or group evolves. If a coach commits to this, the result is that athletes begin to develop a stronger ?filter? for the great amount of information available in the endurance space, especially since much of it has potential to harm progression and performance. It actually makes the coach?s job easier in the long run because athletes become smarter and more self-sufficient in the supporting components of performance.

Feedback and support: A smart plan and all the education in the world doesn?t automatically create great athletes. As an athlete takes their journey there is a great need for ongoing feedback, support, guidance and mentorship to help them learn, make smart decisions and apply the training plan as intended. This is the tough part for athletes who are self-coached. Without a strong mentor or guide who can maintain an objective lens and help make smart decisions, it is challenging to create an ongoing successful career. Athletes need mentors and support, and a coach is a good option for many.

Community: The final element is the X-factor but some form of community, belonging and camaraderie is a powerful addition for many athletes. Whether it is being part of a club, a swim programme or simply having training buddies, community and belonging creates a great sense of accountability, enjoyment, reward and support. ?Suffer together, succeed together?, should be the mantra. Few can live in a bubble and thrive. It takes a unique character and some form of community can help accelerate an athlete?s progression.

If you are reflecting on your progression as an athlete, or thinking about seeking outside advice or guidance, the above elements should act as a framework to look for a successful set up for yourself.

To apply these elements of coaching there is little doubt that the optimal environment is daily interaction and ?on-deck? guidance from your coach. In San Francisco we have a series of daily swim, bike and run sessions for our training group. So much can be gained for the local athletes from the daily interaction, feedback and guidance. This is not always possible and many of my elite athletes are geographically dispersed around the world. This makes communication all the more important, and for the elite athletes we bridge the periods of separation with frequent training camps to allow ?real coaching? to occur. For amateur athletes, it is not always possible to find a quality coach that delivers the above elements (at least well) close to home, so the athlete needs to make small compromises and understand how to help themselves within a longer-distance relationship. There are a few things that athletes can do to make a longer distance relationship more effective:

Own their sport: It sounds simple but creating ownership around your own training and progression is both empowering and beneficial. Rather than viewing the coach or programme as simply spoon-feeding a plan to success, athletes can succeed if they shift their lens to using the coach as a strong resource and technical guide for programming and information. Collaboration is better than a dictatorship, and so I would urge athletes to be wary of coaches who use terms such as ?because I said so? or ?because it worked with X?. Own your sport and become an active participant in your own process.

Commit to a path: Understand that the coaching process is a journey and can often take a while, so committing to the path and maintaining a ?healthy skepticism? throughout is likely a good thing. Of course, while it is good to question sometimes, a certain level of belief and trust is essential.

Do your homework: To truly commit to the above points it is key that you first find a coach that is the right fit for you. We all have different personalities, needs and approaches. I have turned down world-class athletes, not because I didn?t like them, but I felt I was not the best coach for them. Take time to consider the approach of the coach, talk to some of their athletes if possible and look at more than one option. Like buying a car, you don?t simply buy the first one you find. Instead, you test-drive a few, look at the reviews and choose one that fits your needs. Do the same with a coach.

To follow on from the last point I guess this begs the question, ?what makes a good coach??. The easy answer to this would be someone who creates champions, but I am not sure if I agree with something this simple. When I think about great coaches, I think they succeed in (note, I am using examples of more elite coaches below, but the lessons and components relate to all coaches who help athletes of any level) in the following:

Making ?champions?: If you have a history of developing athletes who become world-class this is a strong indication of coaching success. With this comes a word of warning and a story. If a coach leads a group of 25 athletes in their careers, and one of their athletes has massive success, but the story of the other 24 is injury, deep fatigue, short careers and destruction, are they are great coach? Did they make a champion or did they destroy the many other potential champions? I think it is important to look beyond any single athlete results, and look for the trends and history of all the athletes the coach develops.

The art of development: True coaching includes taking an athlete with potential and developing them throughout a career toward their own excellence. This journey is complex and shows the coach?s ability to not only provide a plan, but create vision, a career roadmap, be a strong teacher and mentor, and empower athletes to success. Most coaches agree that stories of development are the ones that provide the biggest source of pride and satisfaction.

Range of assistance: While some coaches have, understandably, types of athletes they specialise in, great coaches have the ability to lead, develop and improve a wide range of athletes. This is less about gender or race distance, and more about the coach being dynamic in leading different personalities, body types and athletes who respond to different training approaches in different manners. A ?one size fits all? approach seldom leads to a great coach, rather, it often leads to ?one size fits some, and the others fall to the side?.

Sharing: The last one is an X-factor, but I think it is worth inclusion. Any coach who is willing to open their book of coaching approach is normally one who is confident and has thought through their approach and reasoning. For me, it is a sign of confidence, and something that should be embraced by more coaches. There are exceptions, but many coaches who claim secrecy or refuse to share that training, often lack the confidence in what they are doing, or perhaps even the substance and understanding of what they are actually prescribing. Good coaches understand that coaching success is not about the workouts. Sure, workout design is important, but a good coach could give a year?s worth of workouts to any other hopeful, and the chances of the hopeful achieving similar results would be slim. It is the recipe, and the execution of that recipe, that makes a coach or programme successful.

As you go on your journey of self-improvement, take note of the lesson of great athletic success. Whether it is from trusted friends, a local coach with all the tools or a coach from further away that feels like a good fit, ensure that you set up your training and performance approach to suit you and your needs. Take ownership of your journey, and don?t simply look for the ?flavour of the month? and think that they are the right coach for you.

FRANKFURT -- BMW dealers in Germany are opposing the automaker's plans to expand Web-based sales to include all its models.

BMW is looking to the Web and even house calls by sales personnel in an effort to boost future revenue in Germany, the head of the group's German sales, Roland Krueger, told WirtschaftsWoche magazine. "We can well imagine that Internet sales could be expanded to all models," Krueger said.

BMW's German dealer head Werner Entenmann told WirtschaftsWoche: "We told BMW in no uncertain terms that we cannot accept direct sales channels.''

BMW said today that it will sell the i3 through the Internet and through sales people visiting customers in their homes as well as through select dealers.

Krueger tried to allay dealers' concerns by telling the magazine that that dealerships would remain the ''backbone'' of BMW sales.

3 Compelling Reasons to Skip the Samsung Galaxy Note 3 on its September Release Date

September 4 has been marked as the release date for Samsung's third-generation phablet, the Galaxy Note 3, and surely millions are holding their breath for the much-awaited touchdown of the second 2013 flagship for the Galaxy maker.

Reasons abound why the phablet king is a must-buy - it is powerful, it is even gorgeous despite claims that the handset is merely a bigger clone of the Galaxy S4, meaning it is made mostly of plastic, and it is the hottest phone arrival to close out 2013, well at least next to the iPhone 5S.

Yet every gadget has its shares of compromises and the Note 3 is not an exception. It is almost a solid buy - arguably one of the best Android phones to be out there in a few more months - but the device also reflects a number of weaknesses, which for some translate into a huge turn off.

Three of them are listed below:

Too big to handle

Rumours suggest the Note 3 screen size is between 5.7-inch and 5.99-inch, any of which is in line with the so-called phablet fever. Sprawling real estate on the face of any modern smartphone is very much appreciated in this age of mobile computing - more screen size means more fun and productivity.

Yet for many, big screen poses major problems and portability is chief of them. The Note 3 is just so huge that it calls for considerable adjustments to achieve comfortable use. One needs to be re-oriented on two-hand smartphone handling with the mega-sized Note 3 - a problem thought to have been eliminated with the preferred iPhone screen sizes.

Plus moving around with the phablet requires altering the fashion sense of users. They either have to re-learn (for most men, at least) the use of a sling bag or purchase new pants and jeans with pocket reengineered to make room for bigger mobile phones.

Mediocre software support

For its high-end lineup and even for a number of its mid-range devices, Samsung provides A1 hardware specs. Unfortunately, the same is not true for the company's support efforts on the software side. To date, its 2013 flagships, the Galaxy S3 and the Galaxy Note 2, remain stuck with Jelly Bean 4.1.2 and reports hinted that Jelly Bean 4.2.2 would not come for these devices at all. They'll jump right straight to Jelly Bean 4.3.

That should be good news, right? But it also highlights Samsung's inability to catch up with the update pace set by Google for its mobile platform. And being an Android-based device, it is only expected that the Note 3 will endure the process of waiting too-long for the next version of Android to arrive.

It could be that the Note 3 will slide out of the box with Jelly Bean 4.3 since that software should be out a few days from now. However, don't bet on a quick jump to Key Lime Pie this year. Even if reports proved true that KLP is out by late Q4 2013, the earliest the Note 3 should chew in the new Android sweet is Q1 2014 and Samsung's record on this respect speak volumes.

Unattractive pricing

U.S. telcos picked up the Note 2 in Q4 2012 and offered the handset to subscribers for $299, which pretty reflect the steep pricing associated with the Samsung phablet. Unlocked, the device could go as high as $600 until now, which is levelled with the iPhone 5. The latter, however, is cheaper with contract - from $150 to $200.

One major thing that prevents the Note 2 from really surging high is its inaccessible price point, analysts said, adding that the same should be expected from the Note 3. It is hard to imagine that Samsung will continue holding sway on the phablet market it created when able challengers are growing in numbers. They look good - like the LG G2 and HTC One Max - and they don't break the bank the way the Galaxy Note 3 will likely do, just like its predecessor did.

Carbonate Triangle's Athabasca Investment Guide: Athabasca Oil Edition

The first article of the series has introduced the Carbonate Triangle of the renowned Canadian oil sands. The region is the world's third largest oil reserve with its rich carbonate-hosted bitumen deposit located in the northern Alberta's deep underground. Precisely, the Carbonate Triangle is situated between three major bitumen areas, Athabasca, Cold Lake and Peace River.

In today's investment guide on the Carbonate Triangle, I will review briefly the main characteristics of the Athabasca area with the objective to provide the most complete information available to potential investors before deciding to seize the opportunity that the 54,132 square miles of the Carbonate Triangle has to offer.

Let's start by reviewing briefly Athabasca, a famous and most prolific region in the Canadian oil sands as well as one of the largest reserve in the world.

Athabasca Region

The Athabasca oil sands are named after the Athabasca River which cuts through the heart of the deposit, and traces of the heavy oil are readily observed on the river banks. Commercial production of oil from the Athabasca oil sands began in 1967, when Great Canadian Oil Sands Limited, now incorporated into an independent company known as Suncor Energy, opened its first mine, producing 30,000Bls/d of synthetic crude oil.

The Athabasca region can be defined with two major oil sands deposits: the Grosmont Formation and the Wabiskaw-McMurray Formation. The Grosmont Formation is a late-Devonian shallow marine to peritidal platform carbonate consisting of four recognizable units within the deposit. All of the hydrocarbons are located in an updip position, structurally trapped along the erosional edge and contained by the overlying Clearwater Formation.

The McMurray Formation was deposited on an exposed karstic landscape of ridges and valleys and varies in thickness from being absent over Devonian highs to over 426 feet thick in the Bitumont Basin. Bitumen-rich reservoirs formed within estuarine valleys stacked above the Lower McMurray channel sands and are assigned to the Upper McMurray Formation.

The Athabasca region is estimated to hold total reserves of 1.34 trillion barrels of oil. Approximately 8-10% would be recoverable with current technology, which would represent a total reserve of 134 billion barrels. Compared to the estimated 7 billion barrels contained in Peace River and approximately 16 billion barrels in Cold Lake, the Athabasca region is the most prolific and the most promising of the three, located in the Carbonate Triangle.

Athabasca Oil (ATHOF.PK)

Founded in 2006, the company based in Alberta, acquired 215,000 acres, focusing on the sustainable development of oil sands in the Athabasca region and light oil resources in northwestern Alberta, Canada. By the end of 2007, Athabasca significantly expanded its land position by obtaining an additional 400,000 acres of oil sands leases in the Athabasca region. As a result, Athabasca held over 650,000 acres of oil sands leases in just over a year of operations. At the time, the best case resource potential estimated by a third-party, totaled up to 6 billion barrels of recoverable bitumen.

In 2008, Athabasca acquired additional land to reach 1.7 million acres of oil sands leases in the Athabasca region, increasing its best case reserve estimates to 6.9 billion barrels of contingent resources. In Q4 of 2009, Athabasca submitted a regulatory application for the first commercial phase of the MacKay River thermal oil project. The best case reserve estimates increased by 50% to 10.3 billion barrels of contingent resources.

In February 2010, the producer completed the sale of a 60% working interest in two oil sands projects, Dover and MacKay River for gross proceeds of $1.9 billion. In April 2010, Athabasca went public on the Public Stock Exchange raising $1.3 billion in gross proceeds. In November 2010, it acquired Excelsior Energy for $133 million. The strategic acquisition brought the Hangingstone asset to a commercial size for development.

In the second half of 2010, Athabasca acquired over one million acres of conventional oil and natural gas rights, targeting numerous mineral formations including Nordegg, Montney Duvernay in the deep basin. Athabasca finished the year holding over 2.5 million acres in oil sands and P&NG leases in the deep basin and Athabasca regions of northern Alberta. In December 2010, the joint venture between Athabasca and PetroChina (PTR) submitted a regulatory application for a 50,000Bls/d thermal oil project at Dover.

2011 was a busy year for the company. In March, it filed a regulatory application for a 12,000Bls/d project which will be the first phase of the Hangingstone thermal oil development. Athabasca acquired an additional working interest in Hangingstone in September 2011, amounting to 24,640 acres. A month later, the producer filed a regulatory application for a 6,000Bls/d TAGD demonstration project in the Dover West Leduc Carbonate Formation. By the end of 2011, Athabasca held over 3.5 million net acres of oil leases in the deep basin and Athabasca regions of northern Alberta.

In May 2012, the company changed its name from Athabasca Oil Sands Corp. to Athabasca Oil Corporation to better reflect the 50/50 targets of the company between the two divisions of light oil and thermal oil. It also sold its 40% interest in MacKay for a purchase price of $680 million. By the end of 2012, the company was holding more than 4.3 million net acres of land in Alberta.

A Strategy Based On Synergies

Athabasca has matured a growth strategy encompassing the synergies of long lived oil sands projects with a high return light oil and liquids rich gas development.

The producer is fully funded for all wholly owned thermal oil projects filed and its light oil program from cash on hand, cash from operations, a reasonable level of debt and, anticipated proceeds from the Dover put/call option. Athabasca's strategic vision is to produce 220,000Boe/d by the year 2020, with half from the Thermal Oil Division and half from the Light Oil Division.

Two Divisions For The Utmost Versatility

Thermal Oil Division

  • Over 1.5 million net acres of leases in the Athabasca area

Oil sands development targets include bitumen in the stacked Wabiskaw and McMurray formations as well as bitumen in the carbonates of the Leduc and Grosmont formations. The best estimate of the contingent bitumen resources has increased in the Thermal Oil Division, year-over-year by approximately 8% to 10.6 billion barrels. At year-end, Athabasca had 342Mmbls (million barrels) of proved plus probable bitumen reserves.

The acquisition of the drilling, core and seismic data acquired during the winter of 2011-2012 has enhanced the company's geological and geophysical understanding of the complex subsurface depositional environments, further delineating Athabasca's abundant bitumen resources. Data obtained during the winter drilling and seismic programs were analyzed by independent engineers, increasing Athabasca's year-over-year bitumen reserves and contingent resources.

Development work continued during 2012 to unlock the vast bitumen potential of Athabasca's carbonate plays. The company conducted two "proof of concept" TAGD field tests at Dover West, effectively heating the carbonate reservoir and mobilizing bitumen to a production well. Near Strathmore, Alberta, Athabasca commenced the construction of the Heater Assembly Facility where the TAGD downhole heater prototype was tested.

Hangingstone Project

The Hangingstone Phase 1, a 12,000Bls/d SAGD operation, is located approximately 12 miles southwest of Fort McMurray and includes 136,000 net acres of land. In October 2012, Athabasca received approvals from the Government of Alberta to construct Phase 1, its first wholly-owned SAGD project.

In late November 2012, Athabasca sanctioned the project's capital budget of $536 million and an additional $27 million for the construction of supporting infrastructure. Based upon an independent engineering estimate at the end of 2012, Hangingstone would contain 51Mmbls of proved reserves, 66Mmbls of probable reserves and the best estimate of the contingent resources would be approximately 0.9Bbls (billion barrels).

The FEED (front-end engineering and design) process for the Hangingstone Phase 1 was completed in 2012. Athabasca had contractually committed more than 60% of the forecasted capital expenditures, including the procurement of long-lead equipment such as the boilers, evaporators, pumps, two SAGD drilling rigs and one SAGD completions rig. Detailed engineering for the project is now 83% complete. First steam is targeted for late 2014.

The Hangingstone Phase 1 is intended to be followed by two consecutive SAGD projects, bringing the area's overall production to more than 80,000Bls/d. In 2012, Athabasca designed the full-asset life cycle development plan for the Hangingstone Phases 2 and 3, including the required expansions to the central processing plant and the well pad layouts.

In support of this full-asset life cycle development plan, the company gathered environmental data to support regulatory submissions for these commercial SAGD projects. Athabasca drilled 23 appraisal wells at its Phase 2 in Q1 of 2013 to further delineate bitumen resources. Phase 2 is expected to ramp-up in 2017 while Phase 3 should be commissioned for 2019.

Dover West Project

Production from the company's bitumen-rich Leduc Formation, originally formed as a coral reef and characterized today by excellent porosity and permeability, is expected to utilize the TAGD process, an innovative production technology employing downhole conduction heaters.

In 2012, Athabasca's "proof of concept" field tests delivered all of its objectives, confirming that the TAGD production technology could effectively heat the reservoir and mobilize bitumen to a production well, and paving the way to launching the TAGD Pilot/Demonstration Project.

Two TAGD production phases were conducted at Dover West during 2012, the technology successfully mobilized bitumen at lower temperatures than those utilized in the SAGD production process. During these production phases, bitumen was mobilized at an estimated 70-90?C, and 60% to 70% of the bitumen heated to greater than 80?C was recovered. The conduction heating cables were fully operational throughout the field tests. Data obtained during the field tests have enabled Athabasca to model the deployment of this innovative production technology, simulating the production performance of a commercial TAGD project.

Furthermore, during last year, Athabasca commenced construction of its HAF (Heater Assembly Facility) near Strathmore. The company drilled a horizontal and a vertical well at the HAF and assembled a downhole heater prototype for the TAGD Pilot/Demonstration Project. Engineering and development plans progressed during 2012, and the regulatory approval process for the TAGD Pilot/Demonstration Project moved forward. Athabasca anticipates receiving regulatory approvals in the next few months. Phase 1 is expected to ramp-up in 2015 with a capacity of 6,000Bls/d while Phase 2 is expected to have the same capacity but commissioning has not been determined yet.

At the end of last year, it was estimated that Athabasca's Leduc carbonate trend contained approximately 16.7Bbls of petroleum initially in place, of which 11.6Bbls are discovered, and the best estimate of the contingent resources would be approximately 3Bbls.

In the first nine months of 2012, Athabasca acquired approximately 30,000 acres of oil sands leases contiguous to its existing Dover West assets. Regulatory approval and internal sanction for the first 12,000-barrel-per-day phase are expected in 2013 with commissioning in 2015. Four additional phases with a capacity of 140,000 barrels per day are expected to ramp-up between 2018 and 2024. The company said that its Dover West project could now eventually support development up to 270,000 barrels per day. The producer estimated at 87Mmbls of probable reserves and the best estimate of the contingent resources would be approximately 2.9Bbls, as of December 2012.

Birch Project

Birch is characterized by its 470,000 net acres, located about 59 miles northwest of Fort McMurray. Athabasca's 2011-2012 winter drilling program included 22 delineation wells at Birch and 23 water source and disposal wells across Hangingstone, Birch and Dover West. The winter drilling program was completed on time and under budget, with $28.9 million spent at Birch in the first nine months of 2012. The company's 2011-2012 winter seismic program consisted of 33.5 miles of 3-D seismic data in the Birch area.

The new drilling, core and seismic data have been integrated, enhancing the producer's geological and geophysical understanding of the complex subsurface depositional environments, further delineating Athabasca's abundant bitumen resources. As of the end of 2012, the company estimated that the best estimate of the contingent resources would be approximately 2.1Bbls for its Birch project.

Grosmont Carbonates Joint Venture Project

Athabasca has a 50/50 joint venture with ZAM Ventures Alberta in an emerging thermal oil play in northern Alberta. The carbonate rocks of Alberta's Grosmont Formation and the overlying Nisku Formation contain more than 380 billion barrels of undiscovered petroleum initially in place. Although production from the Grosmont Formation has yet to be commercially developed, the oil and gas industry is devoting significant resources to unlocking its vast resource potential.

The project counts 394,000 net acres, located approximately 115 miles north of Slave Lake and the company is projecting to utilize the TAGD process to recover bitumen from that specific oil play. As of December 2012, Athabasca estimated that the best estimate of the contingent resources would be approximately 0.8Bbls, representing 0.4Bbls of the company's working interest.

Dover Joint Venture Project

In 2012, Athabasca invested $8 million at Dover, an oil sands joint venture operated by Dover Operating Corp., a company jointly owned by Athabasca at 40% interests and Phoenix Energy Holdings at 60% interests, successor by amalgamation to Cretaceous Oilsands Holdings, a wholly-owned subsidiary of PetroChina. The joint venture counts approximately 60,000 net acres of land.

In April 2013, a regulatory hearing commenced for the Dover SAGD commercial project, a 250,000Bls/d comprised of five 50,000Bls/d phases that would be commissioned between 2016 and 2024. Dover anticipates receiving regulatory approvals later this year. Notably, receipt of provincial regulatory approvals would allow Athabasca to exercise the put option for proceeds of $1.32 billion dollars to the company. As of December 2012, the best estimate of the contingent resources for Dover, would be approximately 3 billion barrels, representing 1.2 billion barrels of the company's working interest.

Light Oil Division

Athabasca is targeting its production of light oil and natural gas with associated natural gas liquids to ramp-up to between 100,000Boe/d and 130,000Boe/d by 2020. Athabasca has over 2.7 million acres of petroleum and natural gas rights situated within several prolific geological trends in the province of Alberta. It has strategically positioned its land holdings to target oil and liquids-rich natural gas development in the Montney, Duvernay, Nordegg and Charlie Lake formations.

Consistent with current industry practices, these unconventional resources will be developed utilizing horizontal drilling and multi-stage fracturing technologies. Characterized by multiple stacked hydrocarbon-bearing zones, the development of these assets involves drilling multiple horizontal wells from common surface facilities. Athabasca is focused on efficiently developing its light oil assets, and in delivering value to its shareholders by achieving lower development and operational costs.

First light oil production commenced in late 2011. Athabasca completed the tie-in of three batteries during Q4 of 2012, for an expected exit rate of 10,000-11,000Boe/d. A mid-year review of the company's drilling, completion and testing program, effective in April 2012, resulted in an increase in the Light Oil Division's total proved plus probable reserves to 20Mmboe, comprised of 45% oil and NGLs.

Athabasca's 2012 multi-well drilling program tested the prospectivity of the Montney, Duvernay and Charlie lake formations utilizing horizontal drilling and multi-stage fracture technology. The company drilled 14 wells in the first quarter and completed 16 wells. Results of the Q1 2012 drilling program are excellent, highlighted by the discovery of a potentially prolific Duvernay oil pool at the company's Kaybob property.

During Q2 of 2012, Athabasca conducted multi-stage hydraulic fracture completions on one Montney and one Nordegg well, both with successful results. The Kaybob East horizontal Montney well was flow tested for 72 hours, producing at a final stabilized rate of approximately 965Boe/d (20% oil) at a flowing pressure of 12,500 kPag, reaffirming the presence of high quality Montney reservoir rock in Athabasca's Kaybob East area.

Also in Q2 of 2012, the company re-tested its previously announced Kaybob Duvernay horizontal oil well. The well was flowed for another 90 hours, achieving final stabilized rates of 800Boe/d at a flowing pressure of approximately 7,000 kPag. This production test result represents a significant increase in rates, 70% increase in oil rate, from the original test results and a tenfold increase in flowing pressure.

Given positive drilling and production testing results, Athabasca has increased the capacity of certain facilities and has accelerated infrastructure construction, adding $60 million to its 2012 light oil capital budget. Athabasca reported an operating netback in its light oil division at $33.08/Boe for Q1 of 2013 compared to $26.62/Boe for Q1 of 2012, according to its MD&A Q1 2013 release.

Financials At A Glance

Athabasca's revenue for Q1 2013 achieved $31.78 million, up from $8.61 million totaled at the same period last year. However, results in depreciation and depletion amounted at $21.75 million, a substantial increase from $4.54 million of last year. The company explains the $17.2 million increase primarily due to depletion charged on additional production from light oil assets compared with the same period in 2012. Moreover, in Q4 of 2012, Athabasca also began recognizing depreciation on supporting infrastructure assets once they became ready for use. Thus, the company suffered a net loss of $25.49 million in the quarter compared to a loss of $19.69 million amounted at the same period last year.

The company spent $83.80 million in capex for its thermal projects in Q1 of 2013 compared to a steeper amount of $185.69 million injected at the same period last year. For its Light Oil Division, the capex totaled $175.96 million, down from $222.26 million achieved in Q1 of 2012. Total capex allocated for Q1 of 2013 totaled $264.36 million, down 35.6% from $410.76 million in Q1 2012.

Athabasca believes it will fund its activities beyond 2013 through a combination of cash flow from operations, the potential exercise of the Dover put-call options, a reasonable level of debt and further joint ventures. The long-term debt of the producer totaled $530 million in Q1 of 2013, a slight increase from $529 million of Q4 2012.

The company is financially in good health, its long-term debt to equity ratio equaling a low 15.39 compared to its industry's average of 65.54. Furthermore, its return on equity attests of the management's effectiveness to sustain and create profitability with the shareholders money, its TTM ROE ratio being at 7.72%, higher than the industry's average of 6.06%.

Even more appealing, Athabasca's ROE 5-year average's ratio remains at 32.25% compared to 7.62% for its industry, a stronger assessment of the efficiency in that department.

Bottom Line

Athabasca represents a great opportunity for investors interested in getting involved in the Canadian oil sands of Alberta. Here are the most significant upsides identified:

  • More than 4.3 million net acres of land leased in the Canadian oil sands
  • Five thermal projects with over 9.2 billion barrels of contingent resources and about 70,000Bls/d of production achievable by 2016
  • A production target of light oil and natural gas to ramp-up to between 100,000Boe/d and 130,000Boe/d by 2020
  • Very low long-term debt adds strong flexibility to pursue projects development and new opportunities
  • Strong efficiency to maximize profitability
  • Significant potential for growth of share value within two or three years

However, here are the potential risks that stand out:

  • Substantial and prolonged drop in the price of crude oil would put pressure on earnings and cash flow of the company
  • Pursuit of several projects at a time for a small-cap producer could impact its financial health in the long run
  • Operating costs estimates for its thermal projects are still unknown

ValueAct negotiating for seat on Microsoft board: Report

On the heels of Microsoft's weak Q4 FY2013 earnings disclosure, Reuters is reporting that ValueAct Capital is negotiating for a seat on the Microsoft board.

Microsoft officials declined to comment on the July 19 Reuters report about the San Francisco-based fund's alleged activities.

ValueAct Capital's founder Jeffrey Ubben, took a $2 billion stake in Microsoft in April of this year. At that time, as the Wall Street Journal noted,?ValueAct held less than one percent of Microsoft's total stock outstanding. (Reuters today said it's about 0.4 percent, but claims ValueAct may be buying more.)

While some have interpreted ValueAct's move as evidence that activist shareholders would try to unseat Microsoft CEO Ballmer, Ubben never has indicated (at least publicly) that this was his goal. Instead, Ubben indicated that he believed investors haven't fully appreciated the future importance of Microsoft's enterprise software and back-end infrastructure powering the cloud.

Some company watchers have indicated Microsoft's $900 million write-down of its Surface RT devices is evidence that Ballmer's attempt to remake Microsoft as a devices and services company is ill-advised and floundering. Some others (like me) believe it's too early in the makeover to claim it's a failure.

Microsoft officials haven't said how many Surface RT devices they've sold since the company launched them in October 2012. And they aren't saying how many they've made or how many are in inventory. (I have heard from a few of my sources that estimates of 6 million still remaining in the channel are considerably off.)

Ballmer recently told the Seattle Times there is a succession plan at Microsoft, but declined to discuss the particulars and/or the date he plans to leave his CEO post. (There's been speculation for years as to who would make the best, next Microsoft CEO.) Ballmer was a visible presence at the company's internal sales conference, known as MGX, in Atlanta this past week, from the few tidbits I've heard/seen.

Ballmer's last official pronouncement on his planned retirement date was in 2008. He said at that time he planned to stay at Microsoft until his youngest son was off to college, which would mean some time in 2018.

Microsoft's far and away largest shareholder, Chairman Bill Gates, is seen as a big Ballmer backer and close personal friend.

Microsoft's shares were down more than 11 percent today after yesterday's earnings report.
